Exclusive negotiations have commenced between the media conglomerate and Netflix for a blockbuster acquisition of its core studio and streaming operations, a move that could dramatically alter the entertainment industry landscape.
An Intense Competition
Netflix is reportedly competing against other industry titans like Paramount Skydance and Comcast, the owner of significant media properties, for control of the iconic Hollywood institution, the prestigious HBO, and the HBO Max streaming platform.
Sources indicate the company has proposed a hefty termination penalty of £3.7 billion if the acquisition fail to secure antitrust approval in the US.
The Financial Details
As the company's stock sitting around about $24, its overall market cap is estimated at roughly $60 billion. Reports suggest Netflix's offer is between $28 and $30 per share, which suggests a total bid value in the neighborhood of $70 billion to $75 billion.
Industry experts have warned that this consolidation could raise significant competition issues, as it would unite two of the most dominant subscription platforms in the United States.
Commitments and Strategic Moves
As part of its bid, Netflix has provided assurances that the legendary movie lot, behind major franchises like Batman and Harry Potter, would retain broad cinema distribution.
Before any potential deal closing, Warner Bros Discovery is planning to finalize a pre-arranged separation of its linear TV networks, which include CNN, TBS, and TNT.
An Entertainment Powerhouse
Should the deal proceed, Netflix would gain ownership of HBO, the maker of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an vast library of classic television.
Warner Bros officially began its auction in October after attracting overtures by multiple suitors.
Voices of Caution
The potential sale has not been without controversy. Acclaimed filmmaker James Cameron, known for Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "significant erosion of enduring worth" for the broader entertainment industry.
Initially, Paramount Skydance was viewed as the early favorite. It had also offered a $5 billion termination fee if approval issues.
Allegations of an Uneven Playing Field
Recently, the rival bidder contended formally that its offer was the most likely to gain government approval. Additionally, the studio alleged the seller of running an "unfair auction process" that favored Netflix, calling it "compromised" in legal correspondence.
Representatives for all companies involved have declined to provide a statement on the ongoing negotiations.
